Governance

Tarkett is a French public limited liability company (Société anonyme) legally structured with a Supervisory Board and a Management Board. Tarkett’s corporate governance processes are directed to ensure uncompromised business ethics, robust and transparent corporate supervision, risk management and regular dialogue with shareholders. Risk identification and risk management actions are among the issues reviewed by the Supervisory Board, the Executive Management Committee and the Audit Committee. Every year, Tarkett updates its risk mapping and continues to implement action plans, significantly reducing risk exposure. Compliance with regulatory requirements and Tarkett policies is ensured through TRACE (Tarkett Risk And Control Evaluation), a systematic internal control process carried out throughout the company. Identified risk mitigation actions are tracked for completion.

Supervisory board

The Supervisory Board is the controlling body of the Company. It ensures that Tarkett’s business strategy is strictly applied by the Management Board. In addition to the Supervisory Board meetings taking place each semester, its members meet every other month with the Management Board for a detailed review of the Group’s financial performance, operations and strategic initiatives.

The Supervisory Board is composed of 13 members of which 3 independent members, 2 members representing the employees and 2 observers. Eric La Bonnardière is the Chairman of the Supervisory Board and is supported by Didier Deconinck as Vice Chairman. In accordance with Company’s Bylaws and Internal Regulations, the observers of the Board are appointed in accordance with the Company’s Bylaws and Internal Regulations.

Eric La Bonnardière became a member of the Company’s Supervisory Board and a member of the Audit Committee in 2015. He was appointed Vice-Chairman of the Supervisory Board in 2017. He has been Chairman of the Board since April 2018.

He began his career in 2006 as a consultant at Capgemini and then joined the Advancy strategy consulting firm where he carried out assignments in industry and distribution. Since 2009, he has been the Chairman and co-founder of Evaneos, a travel marketplace and European leader in its segment.

Eric La Bonnardière is a graduate of the Centrale-Supélec engineering school and has a Master’s degree in management from the HEC academy in Paris.

Didier Deconinck joined the Company’s Supervisory Board in 2001, and was its Chairman from 2005 to April 2018, when he was appointed its Vice-Chairman. He represents the company DDA on the Management Board of Société Investissement Deconinck (“SID”), a family-owned company with interests in the Company. He was a Managing Director of Société Investissement Familiale (“SIF”), a holding company that controlled the Company until its initial public offering in 2013. He is also co-founder of the Monin group, a French manufacturer of hardware items for building and industry, and was Managing Director of the group until its transfer in January 2017.

From 1979 to 1984, Didier Deconinck was the Managing Director of Allibert-Mobilier-de-Jardin. He then became Managing Director of the Video division of Thompson and an executive officer of its German holding company, DAGFU, until 1987. From 1987 to 1990, he was the Managing Director of Domco, a company traded on the Toronto Stock Exchange and the largest Canadian flooring manufacturer. He was Chairman of the Supervisory Board and the Nomination, Compensation and Governance Committee of the company ARDIAN Holding between 2013 and 2015 and since 2015 has been acting as Vice-Chairman of the Supervisory Board and Chairman of the Audit, Internal Control, Risks and Compliance Committee within this company.

Since 2019, he has been a director of the Cercle de l’Orchestre de Paris and the Fonds du Musée d’Art Moderne de Fontevraud.

Didier Deconinck holds an engineering degree from the École Polytechnique of Zurich and received additional training in marketing at the Wharton Business School and in finance at the European Business Administration Institute INSEAD (Fontainebleau).

Marine Charles is CEO France of B&B Hotels. From 2022 to 2023, she was CEO of Saint-Gobain Weber France, the leader in industrial mortars, and a member of the Saint Gobain France Management Committee since February 2022. She began her career in 2004 in strategy consulting at OC&C Strategy Consultants, where she worked in the Paris and London offices. In 2008, she joined the Casino Group where she held the positions of Deputy Director of Group Strategy and Planning and Director of Controlling and Projects for the Group’s International Activities (Latin America, Asia, French overseas departments). In 2013, she became Head of Strategy and Development for Saint Gobain’s Building Distribution Sector in charge of strategic projects and M&A. She then joined in 2016 Lapeyre, a Saint Gobain subsidiary, as Deputy CEO, before being appointed CEO in 2019. Marine Charles is a graduate of Sciences Po Paris and the business school HEC Entrepreneurs Master’s degree.

Julien Deconinck is a founding member of Clermount, a mergers and acquisitions consulting company specialised in fund raising for positive-impact companies. He began his career in 2002 as a mergers and acquisitions analyst at Lazard.

He then joined the Tarkett Group, where he held several positions in marketing development and project management from 2003 to 2006. From 2006 to 2015, he was a mergers and acquisitions associate at HSBC, then Director of Equity Investments at the investment firm Parcom Capital, and then a Director at Société Générale Corporate & Investment Banking.

Julien Deconinck is a graduate of the HEC business academy in Paris.

Françoise Leroy has been a member of the Supervisory Board since 2013.

She began her career in 1975 as Secretary General of the Union Industrielle et d’Entreprise. She joined Elf Aquitaine in 1982, where she held various positions in financial management. In 1998, she became the Director of Financial Communications, and then, in 2001, she became Director of Chemical Subsidiaries Operations in the Finance Department of Total following its merger with Elf Aquitaine. Françoise Leroy was the Secretary General of Total’s Chemical Division between 2004 and 2012 and a member of its Steering Committee since 2006. She was Head of Acquisitions and Disposals from 9 January 2012 until June 2013.

Françoise Leroy is a graduate of the Reims business management and administration school, the École Supérieure de Commerce et d’Administration des Entreprises.

Sabine Roux de Bézieux has been a member of the Company’s Supervisory Board since 2017.

After two years in investment banking, she spent 13 years with the Andersen Group in London and Paris. From 2002 to 2012, she ran her own consulting company, Advanceo, before joining the Board of Directors of several listed companies and taking over the General Management of Notus Technologies.

She has been committed to social and environmental projects for the past fifteen years. In 2005, she created her own Foundation, Araok, to support vulnerable members of society before going on to establish the association Un Esprit de Famille with a number of other foundations. She is treasurer of United Way l’Alliance pour l’éducation, and Chair of the Fondation de la Mer, of which she is one of the founders.

Sabine Roux de Bézieux graduated from the ESSEC business school in 1986. She also holds a DECF (Diploma of Accounting and Finance) and a bachelor’s diploma in philosophy. She is a former auditor of IHEDN.

After studying at the Paris Institute of Political Studies, Philippe Willion began his career in 1985 at Peat Marwick/KPMG before working as CFO in the forest industry.

In 1992, he joined Sommer-Allibert and took the responsibility of the finance department of the Packaging division before joining the Group internal audit in 1997.

When Sommer-Allibert and Tarkett AG merged, he joined the treasury department of Tarkett AG in Germany in 1998 and took over its responsibility.

Since 2001, he has been Tarkett Group Head of Finance and Treasury.

Nicolas Deconinck is currently the President of Demunich, a family holding company, and the Managing Director of SID (Société d’Investissement Deconinck), where he oversees financial investments and venture capital.

From 2019 to 2023, Nicolas held the role of Business Unit Director at Sapient / Razorfish, part of the Publicis Group, where he brought his expertise in digital transformation to large companies in France and internationally.

In 2006, he founded his own company, Attractive, specializing in the manufacturing and distribution of sports articles. Over the years, the company evolved into SoActive, an e-commerce platform based in the United Kingdom, before being acquired by the Bentley Hall Ivts fund in 2015. Prior to that, he worked as an IT Strategy Consultant at BearingPoint, where he developed his skills in strategic consulting.

Nicolas Deconinck is a graduate of the Institut d’Etudes Politiques de Paris (Sciences-Po) and holds a Master’s degree in Corporate Strategy from the University Paris Dauphine.

Tina Mayn currently serves as Executive Vice President Products, Innovation and Sustainable R&D at Danish company Velux. From 2015 to 2018, she served as Executive Vice President of R&D, Product Portfolio and Global Marketing at Nilfisk, a leading global manufacturer of professional cleaning equipment. Previously, she worked at Electrolux, a Swedish appliance company, as Senior Vice President Global Product Line. She has extensive leadership experience in product management and development, innovation, purchasing and change management. Tina Mayn holds an MBA from the European Institute of Purchasing Management (EIPM) and an Executive Board Education degree from CBS Copenhagen Business School.

Since 2022, Caroline Tith is Business Intelligence (BI) Programme Manager in the Data team at Tarkett Group. In this role, she is responsible for the roadmap of BI projects that are in line with the strategy of the divisions and the Tarkett Group.

She previously held various positions in Data since 2014: data manager and biostatistician within a clinical organisation, Big Data consultant and then BI technical-functional analyst for the sales, finance and budget areas of the Tarkett Group.

In December 2021, she became a “2021 Tarkett Top Learner” of the Tarkett Group and was appointed as an employee representative on the Board by Tarkett’s ESC.

Caroline Tith holds a bachelor’s degree in biology/chemistry and a Master’s degree in bioinformatics and biostatistics from the Faculté des Sciences d’Orsay, jointly certified by the École Polytechnique.

Caroline Tith is also qualified as a Production Manager for Artistic Projects and trained in Digital Strategy at the Institut d’Études Supérieur des Arts (IESA).

Didier Michaud-Daniel is executive Chairman of Pluxee NV. From 2012 to 2023, he was Managing Director of Bureau Veritas, a listed company in the Paris SBF 120 index of most actively traded stocks. He began his career in 1981 with OTIS, where he held various posts in the Sales Management and Operations Department. He was appointed Deputy General Manager of Operations in January 1998.

He then became Managing Director of OTIS UK and Ireland, then Chairman of OTIS for the UK, Germany and Central Europe region, before being appointed Chairman of OTIS Elevator Company in May 2008.

Didier Michaud-Daniel is a graduate of the Poitiers business management school and European Business Administration Institute INSEAD and is Chevalier de la Légion d’honneur, the highest French order of merit.

Bernard André Deconinck is an observer on the Company’s Supervisory Board and since 2013 has been the Chairman of the Supervisory Board and a member of the Family Council (as the representative of the Heritage Fund) of SID. He was also a member and Chairman of the SIF Management Board.

Bernard André Deconinck is a graduate of the Ecole Centrale de Paris and began his career with the Group in 1969 as a methods engineer. From 1970, he held operational management positions in the plants and in the divisions, then became Director of Purchasing, Investment, Style, and Research and Development for the Group.

He is Chevalier de l’Ordre national du Mérite.

Claude Ehlinger joined Wendel in 2016. As of 2019, he serves as a Senior Advisor to Wendel. He has also been a member of the Investment Committee and CEO of Oranje-Nassau.

Claude Ehlinger was previously Deputy CEO of Louis Dreyfus Company, which he joined in July 2007 as Group CFO. He was acting as interim CEO of Louis Dreyfus Company from June 2014 to October 2015.

He began his career at the Thomson group in 1985, before joining Finacor in 1987 as Managing Director. From 1999 to 2003, he served as CFO at CCMX and later Regional Financial Controller at Capgemini. He joined Eutelsat as Group CFO in June 2004, a position he held until July 2007.

Claude Ehlinger is a graduate of the Ecole des Hautes études Commerciales (HEC).

In line with standard governance practices, the Supervisory Board has established three committees which focus on specific and complex aspects of its supervisory responsibilities. These committees have an advisory role.

  • The Audit, Risks and Compliance Committee has three members (Françoise Leroy, Sabine Roux de Bézieux and Julien Deconinck) and is chaired by Françoise Leroy, an independent member of the Supervisory Board.
  • The Appointments, Compensation and Governance Committee has three members (Didier Michaud-Daniel, Nicolas Deconinck and Françoise Leroy) and is chaired by Didier Michaud-Daniel, an independent member of the Supervisory Board.
  • The CSR & Innovation Committee has three members (Sabine Roux de Bézieux, Nicolas Deconinck and Tina Mayn) and is chaired by Sabine Roux de Bézieux, an independent member of the Supervisory Board.

Management board

The Management Board ensures the administration and the management of the Company. It is overseen by the Supervisory Board.

The Management Board is composed of two members.

Fabrice Barthélemy is the Chairman of the Management Board and Raphaël Bauer, Tarkett’s CFO, is a member of the Management Board.

Fabrice Barthélemy was appointed as interim Chairman of the Management Board of Tarkett on September 18, 2018, and was confirmed in this position on 14 January, 2019. He has been a member of the Management Board since May 2008.

He began his career as an industrial controller with Safran, joining Valeo in 1995 as Financial Controller of a division in the United Kingdom. From 2000 to 2003, he helped turn around Valeo’s Lighting Division in France, before taking over the global financial management of Valeo’s Electronics & Connective Systems and then of the Valeo’s Wiping Systems.

Fabrice Barthélemy joined Tarkett in 2008 as Chief Financial Officer and also oversaw the Information Systems and Legal departments. He was Chairman of Tarkett’s EMEA-LATAM Division from February 2017 to September 2019. He is a graduate of the French school of management, the École supérieure de commerce de Paris (ESCP) – Europe.

Eric Daliere, American, has been the President of the Tarkett Sports division since 2009. In July 2020, Eric expanded his responsibilities, taking on the role of President for Tarkett North America and Tarkett Sports. He previously spent ten years leading business improvement initiatives for KKR Capstone, having begun his career with the Boston Consulting Group. He holds an MBA from the J.L. Kellogg School of Management of Northwestern University.

Raphaël Bauer has been the Group’s Chief Financial Officer and a member of the Executive Committee since February 2017. He has been a member of the Management Board since May1, 2019.

Formerly the Group’s Financial Controller, Raphael Bauer joined Tarkett in 2010 as financial controller within the EMEA Division, then for the Asia-Pacific and Latin American Regions.

Raphaël Bauer began his career as a management controller at Valeo from 2002 to 2007, then joined Rexam as a financial officer from 2007 to 2010. He is a graduate of the institute of political studies (Sciences Po) in Paris.

Eline Cormont-Girardey has been appointed Group General Counsel in January 2023. She also holds the role of Secretary of Tarkett’s Supervisory Board. Eline joined Tarkett in 2009 as EMEA international in-house counsel, then she evolved to the role of Group compliance officer/senior legal counsel and took in 2016 the position of EMEA-LATAM-ANZ Legal Director. Prior to Tarkett, she worked for PSA PEUGEOT CITROEN as International Legal Counsel. Eline holds a master’s degree in International Business Law from the University of Tours and a master’s degree of Legal Translator from the Institut Supérieur d’Interprétation et de Traduction of Paris.

She most recently held the role of Vice President HR of Schneider Electric’s Industry commercial organisation, and previously worked in various positions in Human Resources management in France and North America at the Alstom Group for 15 years, after beginning her career at Philips in 1996. Séverine Grosjean is a graduate of Science Po Paris and IAE Paris, and holds a Master’s degree from the University of Kent.

She had previously worked for General Electric Renewable Energy for three years, where she was in charge of Lean & Digital Transformation. Prior to that, she worked in diverse industries including automotive (10 years with Plastic Omnium, Faurecia and Peugeot Citroën) and aeronautics (4 years at Zodiac Aerospace), in both operational and functional roles. Carine began her career in 1997 at Moulinex, after gaining a degree in Engineering, Plastics Processing from ITECH Lyon and a PhD in Industrial Engineering from the Université de Technologie de Compiègne.

Hervé Legrand was appointed as Group Chief Information Officer (CIO) in April 2021. He was previously Group CIO of ArcelorMittal for ten years, where he also held the position of Group Chief Information Security Officer. Prior to this, Hervé held various positions in information systems at Pechiney, Alcan, Novelis, supporting the digital transformation of the aluminium industry. He has operated in different parts of the world (Luxembourg, USA, Switzerland and France). Hervé is a graduate of the University of Mulhouse, France.
